ARTICLE 2 - Contractual Documents
This contract consists of these general conditions of sale and by order of legal values , the purchase order or quotation it commits the signatories in an trade act.
ARTICLE 3 - Applicable Law
The parties agree that this contract is subject to English Law .
ARTICLE 4 - Characteristics of goods and services and advice
The company Philemonday shall inform the BUYER all the essential characteristics of services , advice and goods offered.
The company invites Philemonday BUYER to read the characteristics of services , advice and goods offered carefully.
Unless otherwise indicated , the company Philemonday not limited geographically proposed offer.
The offer is for a fixed term , it is the BUYER to pay attention to the expiry date of the offer in time, and its renouvellable or not by tacit agreement.
The company undertakes Philemonday upon delivery to accompany it documents required for the use of services , advice and property.
BUYER is aware that the services , advice and goods will be delivered by mail or via the Internet, depending on the type of services or goods.
The BUYER acknowledges that the photograph of the product shown on the website are for illustrative purposes only .
ARTICLE 5 - Commitment
When BUYER sign an order duly completed and signed , then it is bound irrevocably acceptance can not be challenged except pursuant to Article 9.
ARTICLE 6 - Price
Prices are quoted in euros.
It will be added to the price rate of VAT if applicable and delivery charges .
If delivery takes place outside the territory of the European Union , customs duties and formalities relating thereto are the sole responsibility of the BUYER .
The BUYER shall either verify compliance of delivery in relation to the country of delivery.
If the BUYER wants the price to be converted into another currency, it shall notify the company Philemonday in this direction.
ARTICLE 7 - Billing and order confirmation
To ensure the control of the BUYER , the company Philemonday undertakes to confirm all orders immediately by issuing an invoice sent by mail or by Internet .
This bill included a reference to the goods or services ordered , price, payment method as well as its methods of delivery by e- mail no later than upon delivery .
ARTICLE 8 - Proof
All exchanges by mail and via the Internet, and worth confirmations followed by Philemonday order will be archived and will be considered as proof of or contracts between the BUYER and Philemonday
ARTICLE 9 - Cancellation policy
BUYER has a withdrawal period of 7 days from the signing of the purchase order.
This period of withdrawal is mandatory by registered letter with acknowledgment of receipt.
If the BUYER exercises its withdrawal period , the company Philemonday undertakes to reimburse the sums paid and free within a maximum period of 30 days.
BUYER may also choose to change the product and / or service.
However, if the purchased product A sealed (eg DVD Rom) , then the BUYER may claim the benefit of this right of withdrawal after opening the seal.
ARTICLE 10 - Period of notice - Package renewable service
BUYER a " renewable Package " has a notice period with a minimum notice of two months after the anniversary date of renewal.
Termination of an annual service contract, by either party , shall be made by registered letter with notice of two months compared to the anniversary date of the order . Unless otherwise specified by the PURCHASER before the 2 months prior to the anniversary date of the order , Philemonday considers the contract to be renewed - the same conditions - for a period of one year. The package maintenance of a website is also a renewable package . It includes modifying the existing services (corrections , changes, and substitutions of texts and images ) as well as server maintenance on the basis of our maximum hourly rate (see Article 15 ) in proportion to the amount of the subscribed package for year beyond the time spent is charged extra after presentation of an estimate to the customer and agreement of the latter .
ARTICLE 11 - Delivery service or product
The company Philemonday undertakes to deliver the services , advice and ordered goods within 30 days from the order, unless special provisions specified in writing on the order .
If the property is not available, the BUYER shall be informed at the earliest and may cancel the order.
It may then request a replacement product or a refund.
The products are delivered to the address indicated by the BUYER on the order form.
Any complaints should be addressed to the address indicated in section 1.
BUYER check the services and advice and goods the general appearance of the packaging of the product delivered , in case of damage, it is committed to report on the order form.
It will inform the company Philemonday 3 days by mail.
In case of non- compliance services , advice and / or goods delivered , the company Philemonday will exchange the product or service to the BUYER .
ARTICLE 12 - Warranty and After-Sales Service on services, products and materials subcontracted
BUYER has a contractual guarantee against any defects that could present the products and materials ( outsourced ) for a period of one year (to be confirmed from the date of first entry into service).
The company Philemonday will repair or change its fees for all services, products and materials found defective during the period described above, the shipping required is included in this warranty.
Is not included in the warranty any failure due to abnormal use of the product or service sold with the product or service by the negligence or fault of the BUYER, the replacement of normal wear and tear associated with products or services and products dysfunction or damage due to accident or natural phenomenon.
ARTICLE 13 - Payment
For each service offered for sale , the BUYER has the choice of the following payment options :
- Payment by transfer
- Payment by credit card ( *)
- No Payment by check
BUYER certifies having the necessary permissions to perform the payment he chooses.
As part of a payment by credit card, the payment order may be revoked in case of fraudulent use of the card in accordance with the agreement between the BUYER and its bank.

Payments "online" on the Internet for Philemonday are secured by PAYPAL system ( https://www.paypal.com)
ARTICLE 13 - Personal information

It also explains rights and choices you have over your personal information (and that of visitors to Philemonday web sites), including the ability to access, correct, and delete personal information.

ARTICLE 14 - Technical Security
Philemonday Agency use secured and encrypted for all transactions with the BUYER , such means are in accordance with the legislation in force . On your instructions, Philemonday Agency use secured and encrypted process by e-mail, phone and data.
ARTICLE 15 - Hourly rate
The company Philemonday Agency practice a basic hourly rate of £137.00 GBP (165.00 €) for digital consulting and £47.00 GBP (57 €) for office, except in exceptional contractual specifications.
ARTICLE 16 - Settlement of disputes
In the event of a dispute arising from this contractual relationship, the parties agree before any legal action to seek an amicable solution.
The parties agree that any dispute arising from this contract falls within the exclusive jurisdiction of LONDON (UK) .
ARTICLE 15 - Copyright
All materials contained on this site are protected by United Kingdom copyright law and may not be reproduced, distributed, transmitted, displayed, published or broadcast without the prior written permission of Philemonday Agency Company or in the case of third party materials, the owner of that content. 1. Purpose
These Terms and Conditions of Sale (T&Cs) outline the conditions under which PHILEMONDAY AGENCY provides digital advertising campaigns on a Planned Cost Per Click (PCPC) basis to its clients (hereinafter referred to as "the Client"). These services include media buying, along with related setup, targeting, and ad creation services.
2. Scope of Services and Sales Conditions
The services offered include:
Media Buying: The budget allocated by the Client for displaying ads on selected digital platforms.
Setup, Creation, and Management Fees: Includes setup, targeting, ad creation, and campaign optimisation.
Fees are invoiced alongside media purchases at the time of order.
3. Advertising Platforms
A campaign is defined based on the selected advertising platforms, which include:
Google: Search, Display, and Grants
Bing Ads, YouTube Ads, X (formerly Twitter) Ads
Social Media: Facebook Ads, Instagram Ads, TikTok Ads, LinkedIn Ads, Snapchat Ads, WhatsApp Ads, other ad servers...
Each chosen platform incurs a monthly traffic management fee. The setup fee for the first month of a campaign is on request excluding VAT.
4. Minimum Media Purchase
Each campaign requires a minimum media budget excluding VAT (price on request). This budget is solely for advertising costs on platforms chosen by the Client. A monthly management fee per platform applies for each campaign.
5. Targeting and Ad Creation
Each campaign includes:
Targeting: Based on platform-specific criteria.
Ad Creation: Two to three ads created specifically for the campaign.
For more complex, multi-platform campaigns requiring bespoke handling, a quote will be provided upon request.
6. Payment Terms and Campaign Launch
Campaign launches are contingent on full payment at the time of order. No campaign will proceed without prior payment for the media purchase and associated fees. PHILEMONDAY AGENCY reserves the right to suspend any campaign in cases of unpaid balances and/or interruptions (see 8. Liability).
7. Traffic Management
Traffic management tasks are non-refundable. In cases where a budget surplus remains at the end of a project, PHILEMONDAY AGENCY will offer the Client the option to apply the remaining funds towards a new traffic management project.
8. Liability
PHILEMONDAY AGENCY applies all necessary resources to ensure the success of advertising campaigns. However, campaign performance also depends on audience criteria, platform policies, and algorithms, meaning that PHILEMONDAY AGENCY cannot guarantee specific results. We commit to providing a best-effort approach, not specific outcomes.
9. Termination and Cancellation
In cases where the Client terminates or cancels a campaign after launch, the setup fees and funds allocated to management and traffic management remain due and will not be refunded.
11. Geographic Scope and Subcontracting
PHILEMONDAY AGENCY conducts advertising campaigns worldwide. Depending on the geographic regions and countries involved, the agency may engage local partners for project execution, media buying, and/or language adaptations necessary to effectively localise the campaign.
The media purchase price indicated is always expressed excluding VAT. Applicable taxes depend on the jurisdiction of the campaign's distribution and will be deducted from the VAT-excluded rate based on tax regulations in each target country.
12. Governing Law
These T&Cs are governed by the laws of the United Kingdom. In the event of a dispute, the courts in London shall have exclusive jurisdiction.
Chapter: Emailing
Mission Proposal: HTML Emailing Design
Nature of the service
Philemonday Agency's HTML emailing design includes a personalized approach, tailored to the client's specific needs. This service includes the creation of optimized emailings for effective digital campaigns, taking into account technical, aesthetic and strategic aspects.
1. Structure of Offers and Pricing Criteria
Email design pricing varies based on several key metrics:
1.1 Artistic direction:
· With artistic direction: Complete support for the creation of a tailor-made graphic charter and an innovative design.
· No art direction: Use of standard or client-supplied templates, without visual redesign.
1.2 Routing Platform:
· With routing platform (access provided by the customer): Integration and configuration directly on the platform provided by the customer (e.g. Mailchimp, Sendinblue, etc.).
· With routing platform (provided by Philemonday Agency): Use of an internal routing platform. In this case, a routing fee is charged at CPM (Cost Per Thousand) based on the volume of opt-in lists of recipients provided by the customer.
· Without a routing platform: Delivery of the HTML file ready to be used by the customer in its own solution.
1.3 Personalization of Messages:
· With personalization: Adding dynamic fields (name, location, preferences, etc.) for targeted campaigns.
· No personalization: Standardized emailing without dynamic variables.
1.4 Message Segmentation:
· With segmentation: Creation of different versions of emailing according to the identified targets.
· Without segmentation: Sending a single emailing to all recipients.
2. Technical Complexity and Cost Variability
Design costs can vary greatly depending on the complexity of the project:
· Emailing Simple :
o Simple structure, with no variations in columns or advanced graphical elements.
o Limited number of links with UTM tracking.
· Complex emailing:
o Structural variations: 1, 2 and 3 columns.
o Complex header including graphics and animations.
o Text block with variations in colour, weight and solid colours.
o Multiple links with UTM tracking.
o Advanced Footer block, incorporating navigation elements and calls to action.
Complex projects will include a detailed study and a customized quote to reflect specific needs.
3. Monitoring, Statistics and Support
3.1 Statistical assessment and advice:
Each mission includes a statistical assessment of the performance of the emailing, carried out more than 10 days after sending. This review covers key metrics such as open rates, click-through rates, and other relevant metrics. If necessary, additional guidance is offered to optimize future campaigns.
3.2 Follow-up by a Project Manager:
A dedicated project manager is responsible for monitoring the proofs (Proof to Print) as well as managing the schedule, ensuring that deadlines are met and communication is fluid throughout the project.
4. Payment Terms
· Deposit on order: A deposit is required upon receipt of the signed quote to launch the service.
· Balance on delivery: The balance must be paid against delivery, on date, by bank transfer or credit card.
5. Commitments and Responsibility
Philemonday Agency is committed to providing a quality service by mobilizing its resources and expertise. However, campaign performance also depends on the delivery and targeting criteria defined upstream and downstream (deliverability and responsive design), and no guarantee of a specific result can be given, unless specifications to the contrary are signed on the quote and accepted by the parties.
6. Governing Law
These assignments and services are subject to applicable UK law. In the event of a dispute, the competent courts in London will have sole jurisdiction to decide.

Personal Data (or Data)
Any information regarding a natural person, a legal person, an institution or an association, which is, or can be, identified, even indirectly, by reference to any other information, including a personal identification number.
Usage Data
Information collected automatically from this Application (or third party services employed in this Application ), which can include: the IP addresses or domain names of the computers utilized by the Users who use this Application, the URI addresses (Uniform Resource Identifier), the time of the request, the method utilized to submit the request to the server, the size of the file received in response, the numerical code indicating the status of the server's answer (successful outcome, error, etc.), the country of origin, the features of the browser and the operating system utilized by the User, the various time details per visit (e.g., the time spent on each page within the Application) and the details about the path followed within the Application with special reference to the sequence of pages visited, and other parameters about the device operating system and/or the User's IT environment.

The individual using this Application, which must coincide with or be authorized by the Data Subject, to whom the Personal Data refer.
